These Terms and Conditions (“Terms”) govern your access to and use of PromptOf (“we,” “our,” or “us”), including the website https://promptof.com (the “Platform”).
By accessing or using the Platform, you agree to comply with these Terms. If you do not agree, you must not use the Platform.

1. Eligibility

1.1 You must be at least 18 years of age to use the Platform.
1.2 By using the Platform, you confirm that you have the legal capacity to enter into binding agreements.
1.3 Use by minors or individuals prohibited by applicable law is strictly forbidden.

2. Account Registration

2.1 Users must create an account to buy, sell, or interact with the Platform.
2.2 You agree to provide accurate, complete, and up-to-date information during registration.
2.3 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
2.4 PromptOf reserves the right to suspend or terminate accounts suspected of unauthorized, fraudulent, or illegal activity.

3. Marketplace Usage

3.1 The Platform allows users to buy and sell AI prompts and other digital content.
3.2 Users must ensure that all uploaded content:

Does not infringe any intellectual property rights
Is lawful, safe, and does not contain malicious code
Complies with all applicable laws and regulations

3.3 PromptOf reserves the right to remove or restrict content that violates these Terms or applicable law.

4. Payments and Fees

4.1 Users may purchase or sell prompts through third-party payment gateways, including Paytm, Razorpay, PayPal, and others.
4.2 All transactions are governed by the terms and policies of the respective payment providers.
4.3 PromptOf may charge a commission fee on transactions as displayed on the Platform.
4.4 Users are responsible for all taxes, duties, or other governmental charges associated with their transactions.

5. KYC and Verification

5.1 Users engaging in sales or withdrawals must complete KYC verification as required by PromptOf.
5.2 Failure to complete KYC may result in account suspension or withholding of payouts.
5.3 All KYC data is stored securely and processed only for legal compliance and operational purposes.

6. User Obligations

By using the Platform, you agree to:

--> Comply with all applicable laws and regulations
--> Provide accurate and truthful information
--> Not engage in fraud, spamming, phishing, or any malicious activity
--> Respect the intellectual property rights of others
--> Refrain from posting unlawful, harmful, or offensive content

7. Prohibited Activities

Users shall not:

--> Copy, distribute, or modify content without proper authorization
--> Use the Platform to engage in illegal activities, scams, or money laundering
--> Interfere with Platform operations or attempt to breach its security mechanisms
--> Attempt to access, collect, or use other users’ data without consent

8. Intellectual Property

8.1 All content, logos, trademarks, and software on the Platform are the property of PromptOf or its licensors.
8.2 No user is granted any rights to use PromptOf’s intellectual property except as explicitly authorized.
8.3 Users retain ownership of the AI prompts and content they upload but grant PromptOf a non-exclusive, worldwide, royalty-free license to display, promote, and facilitate transactions involving the content on the Platform.

9. Refunds and Cancellations

9.1 Since prompts and digital goods are delivered instantly upon purchase, all sales are final and non-refundable unless required by law.
9.2 In case of accidental duplicate payment or unauthorized charge, please contact support at https://promptof.com/contact within 7 days for resolution.

10. Copyright Complaints

10.1 If you believe that content on the Platform infringes your copyright, please notify us at https://promptof.com/contact with the following details:

--> Your contact information
--> Description of the copyrighted material
--> The URL or details of the infringing content
--> A statement that you believe in good faith that use is unauthorized
10.2 PromptOf will take appropriate action as required under applicable laws.

11. Termination

11.1 PromptOf may suspend or terminate your account at its discretion if you:

Violate these Terms
--> Engage in fraudulent, abusive, or illegal activity
--> Fail to comply with KYC or payment obligations
11.2 Upon termination, your access to the Platform and related services will cease immediately.

12. Disclaimers

12.1 The Platform is provided “as is” and “as available” without warranties of any kind.
12.2 PromptOf does not guarantee the accuracy, reliability, or availability of any user-generated content.
12.3 Users acknowledge that all transactions are conducted at their own risk.
12.4 PromptOf is not responsible for any loss or damage resulting from use of the Platform or third-party services.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, PromptOf, its affiliates, officers, and employees shall not be liable for:

--> Any indirect, incidental, or consequential damages
--> Loss of profits, data, or goodwill
--> Unauthorized access to or alteration of user content
13.2 In any event, liability shall not exceed the total amount paid by the user to PromptOf in the preceding twelve (12) months.

14. Indemnification

You agree to indemnify, defend, and hold harmless PromptOf, its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from:

Your use of the Platform
Your violation of these Terms
Your breach of any law or third-party rights

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by and construed in accordance with the laws of India.
15.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, India.
15.3 Parties shall attempt to resolve disputes amicably before initiating any legal proceedings.

16. Amendments

PromptOf reserves the right to amend these Terms at any time. Updates will be posted on the Platform with an updated “Last Updated” date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, along with the Privacy Policy and Refund Policy, constitute the entire agreement between you and PromptOf regarding your use of the Platform and supersede any prior agreements or communications.
